By accessing or using the Cnalylabs platform and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services. These Terms constitute a legally binding agreement between you and Cnalylabs Ltd.

2. Description of Services

Cnalylabs provides a serverless GPU compute platform that enables users to deploy, run, and scale machine learning models and AI workloads. Our Services include API access, model hosting, inference endpoints, and related tools and documentation.

3. Account Registration

To use our Services, you must create an account. You agree to:

Provide accurate and complete registration information
Maintain the security of your account credentials
Promptly update your account information as needed
Accept responsibility for all activities under your account

4. Acceptable Use

You agree not to use the Services to:

Violate any applicable laws or regulations
Infringe upon intellectual property rights of others
Transmit malicious code or interfere with the Services
Engage in unauthorized access to systems or data
Generate or distribute harmful, illegal, or offensive content
Resell or redistribute the Services without authorization

5. Payment and Billing

Certain Services require payment. You agree to pay all fees according to the pricing and billing terms in effect at the time. Fees are non-refundable except as required by law or as explicitly stated in these Terms. We reserve the right to modify our pricing with reasonable notice.

6. Intellectual Property

The Services and all related content, features, and functionality are owned by Cnalylabs Ltd. and are protected by intellectual property laws. You retain ownership of any content you submit through the Services, but grant us a license to use it as necessary to provide the Services.

7. Data and Privacy

Your use of the Services is subject to our Privacy Policy. You are responsible for ensuring that your use of the Services complies with applicable data protection laws, including obtaining necessary consents for processing personal data.

8. Service Level Agreement

We strive to provide reliable Services with 99.9% uptime. Specific service level commitments may be provided under separate agreements for enterprise customers. Scheduled maintenance and force majeure events are excluded from uptime calculations.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CNALYLABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Cnalylabs Ltd. and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.

11. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason with reasonable notice. You may terminate your account at any time by contacting us. Upon termination, your right to use the Services will immediately cease.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
